Terms and Conditions for The Closet Edit Digital Course

By purchasing and accessing The Closet Edit digital course (the "Course"), you ("Participant" or "you") agree to abide by these Terms and Conditions. Please read them carefully before proceeding.

1. Intellectual Property & Use Restrictions
All content provided in the Course, including but not limited to text, videos, images, worksheets, trademarks, logos, and other materials ("Content"), is and remains the exclusive property of StyleD Inc.
The Content is provided solely for your personal, non-commercial use. You are prohibited from sharing, distributing, reproducing, modifying, republishing, reselling, or transmitting any Content, links, or course materials to any other party without prior written consent from StyleD Inc.
You may not record, screenshot, photograph, or create derivative works from video content, course materials, or any other Content provided in the Course. This includes but is not limited to screen recordings, camera recordings, or any other method of capturing or reproducing the Content.
Unauthorized sharing of login credentials, course documents, or any proprietary information is strictly prohibited.
Any violation of these terms may result in immediate termination of your access to the Course without a refund, and may subject you to further legal action.

2. Lifetime Access & Course Availability
Upon purchase, you are granted 'lifetime access,' meaning access for as long as StyleD Inc. continues to offer and maintain the Course on its chosen platform. This does not guarantee access for your natural lifetime or any specific duration.
StyleD Inc. reserves the right to update, discontinue, or dissolve the Course in its sole discretion, with or without notice. Should discontinuation occur, your access and all course materials will no longer be available.
You understand and accept that lifetime access does not mean permanent access in perpetuity.

3. No Refund Policy
All sales for The Closet Edit are final due to the digital, non-returnable nature of the Course. No refunds will be issued under any circumstances barring those required by applicable consumer protection law. StyleD Inc. agrees to indemnify and hold you harmless solely from any claims that the Course materials, as provided, infringe upon the intellectual property rights of a third party.

7. Technology Disclaimer
StyleD Inc. strives to provide continuous access to the Course, but does not guarantee that access will be uninterrupted or error-free. You are responsible for maintaining the confidentiality and security of your login credentials. You must not share your username, password, or account access with any other person. You are responsible for all activity that occurs under your account. The Course may be hosted or delivered via third-party platforms (such as Kajabi); StyleD Inc. is not responsible for downtime, disruptions, or technical issues caused by these platforms. You are responsible for ensuring you have necessary technology and internet access to participate.

8. Privacy & Data Handling

9. Modifications, Termination, and Course Changes

StyleD Inc. may terminate or suspend your course access at its sole discretion if you violate these Terms, engage in prohibited conduct, or for any reason it deems necessary to maintain course integrity.

10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles.
Any disputes arising out of or relating to these Terms or your participation in the Course will be resolved exclusively by binding arbitration in Los Angeles County, California, except that either party may pursue injunctive or equitable relief in a court of competent jurisdiction.
Arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures. The arbitrator's decision will be final and binding. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of your purchase. Either party may bring an individual action in small claims court as an alternative to arbitration for claims within that court's jurisdiction.

11. Severability
If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

12. Force Majeure
StyleD Inc. will not be liable or responsible for any delays or failures in performance arising from circumstances beyond its reasonable control, including but not limited to acts of God, governmental actions, pandemics, power failures, or internet outages.
